MINUTES OF THE JOINT REGULAR CALLED MEETING OF THE TYE ECONOMIC DEVELOPMENT CORPORATION AND THE TYE INDUSTRIAL DEVELOPMENT CORPORATION, TYE, TEXAS

MONDAY, DECEMBER 13TH  2021

6:00 PM

The Tye Economic Development and the Tye Industrial Development Corporations met for a Regular Called meeting on Monday, December 13th, 2021, at 6:00 pm, at 649 Scott Street, Tye, Texas 79563.

  1. Call to Order – Danette Dunlap President of the Board of the Tye Industrial/Economic Development Corporations called the meeting to order at 6:00 pm.

Members present – Danette Dunlap, Vada Childers, Ken Arnold, Kenny Dry

Members absent – George Deffenbaugh, Janie Ritter, Barbara Kotrlik

 

Others Present – City Secretary Rita Monterrosa, City Attorney Sharon Hicks, Lena Minor, Mary McCarty, Marie McCarty, Celeste Votaw, Michael Fowler, John McCarty, Jennifer Chick

 

  1. Invocation – Given by Vada Childers.

 

  1. Public Comment – At this time, any person with business not scheduled on the agenda may speak to the Board of Directors. No formal action can be taken on these items at this meeting. Citizens speaking time may not exceed three (3) minutes without the consent of the Board of Directors. – No Comments

 

  1. Discuss and Consider: Approval of joint minutes for both TEDCO and TIDCO from November 8th, 2021.

 

Motion made by Ken Arnold to approve the joint minutes for both TEDCO and TIDCO from November 8th, 2021. Kenny Dry seconded the motion. Motion carried.

 

  1. Discuss and Consider: Approval of financials for both TEDCO and TIDCO for November 2021.

 

Motion made by Vada Childers to approve the financials for both TEDCO and TIDCO from November 2021. Kenny Dry seconded the motion. Motion carried.

 

  1. Discuss and Consider: Payment plan for property taxes for a 6 month period for Tye Family Care Clinic and ATX Auctions.

 

Staff gave a brief summary of the property tax invoices that were sent to Tye Family Care Clinic and ATX Auctions.

 

Celeste Votaw spoke about the item and stated the fact that they haven’t had to pay property taxes before. Celeste said that they have had a rough year with the prospect of City Hall moving to the Small Business Incubator. She stated that since the City Council voted to deny City Hall moving to the Small Business Incubator, she feels that the Boards have been out to get them. She also stated that gender may play a role in why Tye Family Care Clinic and ATX Auctions are being invoiced for property taxes – because both companies are female lead. Danette Dunlap, Kenny Dry, Vada Childers, and City Attorney Sharon Hicks responded to Celeste. The response from the board members and the attorney was that the property tax clause is clear in the lease agreements and the tenants are responsible for these costs.

 

Lena Minor spoke about the item and stated the fact that they haven’t had to pay property taxes before. She stated that someone told her they haven’t had to pay property taxes before because they were friends with the previous director. Staff asked Lena to share with the board who this person was and Lena said that she preferred not to say. She also produced a document from Taylor County Central Appraisal District. City Attorney Sharon Hicks reviewed that document and stated that according to the lease agreements, the tenants are responsible for property taxes.

 

The boards decided that an Executive Session was necessary under Section 551.071 (Consultation With Attorney)

 

President Danette Dunlap announced that the Boards were entering Executive Session at 6:24 PM.

It was announced that the Boards came back into Open Session at 6:45 PM. No votes or action were taken in Executive Session.

 

Michael Fowler spoke about the item and stated the fact that he was one of the first renters in the Small Business Incubator and he never had to pay property taxes while he was a part of the Small Business Incubator. He asked Staff how long the property tax clause has been included in the lease agreements. Staff responded that they have done research and it has been in the lease agreements for at least the past 5 years. He then asked Staff to recite the property tax clause verbatim. Staff read the clause to him. Kenny Dry responded to Michael and stated that according to the Small Business Incubator Lease Agreements, the tenants are responsible for property taxes.

 

Mary McCarty spoke about the item and stated the fact that they haven’t had to pay property taxes before.

 

The boards decided that an Executive Session was necessary under Section 551.071 (Consultation With Attorney)

 

President Danette Dunlap announced that the Boards were entering Executive Session at 7:06 PM.

It was announced that the Boards came back into Open Session at 7:32 PM. No votes or action were taken in Executive Session.

 

The boards and the tenants agreed that when it was time for the renewal of their lease agreements that we would bring them back to a board meeting to discuss possible property tax payment plans for future lease agreements.

 

Motion made by Kenny Dry to forgive half of the property taxes for Tye Family Care Clinic and ATX Auctions for the 2021 tax year, Tye Family Care Clinic and ATX Auctions will pay the balance in equal installments over 6 months split between Tedco and Tidco, and Tye Family Care Clinic and ATX Auctions will be responsible for the full amount of property taxes for future years. Vada Childers seconded the motion. Motion carried.

 

  1. Discuss and Consider: Bay Door in the ATX Auctions Warehouse.

City Attorney Sharon Hicks pointed out an error in the wording of the agenda and that the board could not take any action on the item. She said that since the board tabled this item at the November 8th, 2021 meeting, that the agenda should have read: remove from table.

 

Staff apologized for the oversight and the board agreed to discuss this issue at a later meeting.

 

The boards took no action.

 

The boards then moved original agenda item 9 to item 8.

 

  1. Discuss and Consider: Sign at the Tye Community Center.

 

Staff presented the boards with 2 different designs from Day Sign Company for the sign at the Community Center that was damaged in a windstorm. Staff explained that we were able to file the damage on our insurance and we would only be responsible for a $500.00 deductible.

 

After a short discussion, Motion made by Kenny Dry to approve the design marked #2, Ken Arnold seconded the motion. Motion carried.

 

  1. Discuss and Consider: Storage container for the Julian Morgan Museum.

City Attorney Sharon Hicks pointed out an error in the wording of the agenda and that the board could not take any action on the item. She said that since the board tabled this item at the October 12th, 2021 meeting, that the agenda should have read: remove from table.

 

Staff apologized for the oversight and the board agreed to discuss this issue at a later meeting.

 

The boards took no action.

 

  1. Executive Session: The Commission reserves the right to adjourn into executive session at any time during the meeting to discuss any of the matters listed, as authorized by Texas Government Code, Section 551.071 (Consultation With Attorney), Section 551.072 (Deliberations About Real Property), Section 551.087 (Economic Development), Tye Methodist Church property located at 205 Taylor St. Tye, TX 79563/Sewer Line Project on Market St.

 

President Danette Dunlap announced that the Boards were entering Executive Session at 7:49 PM.

It was announced that the Boards came back into Open Session at 8:18 PM. No votes or action were taken in Executive Session.

 

The boards took no action on these items.

 

  1. Adjournment: Motion made by Vada Childers to adjourn at 8:18 PM. Ken Arnold seconded the motion. Motion carried.
